When was SMFG established?

SMFG was established through a share transfer from Sumitomo Mitsui Banking Corporation (SMBC) on December 2, 2002. The corporate history of SMFG and it's major group companies is contained in the “Company Overview.”

As a holding company, SMFG has functions such as strategic planning, management, resource allocation, strategic planning of information systems, financial management, investor relations, risk management, human resource management for group executives, and business auditing of the group as a whole.

SMFG implements the audit system managed by the designated corporate auditors.
As of June 30, 2013, our executive officers consisted of twelve directors and six corporate auditors.
We believe it is important to incorporate perspectives provided by an independent group of outside auditors for ensuring transparency for our management. Such group is made up of three outside directors and three outside auditors who meet the requirements set forth by the Tokyo Stock Exchange and Nagoya Stock Exchange, on which SMFG is listed.
The meetings for the Board of Directors are generally held once a month. The chairman of SMFG acts as the chairman for the Board of Directors, having the different responsibilities from the ones for the president. The president of SMFG is comprehensively in charge of management and business operations of SMFG and its group companies.
In order to reinforce the functions of the Board of Directors, we have formed four governance committees of the Auditing Committee, the Risk Management Committee, the Compensation Committee and the Nominating Committee. The outside directors have been appointed to each committee (outside directors are acting as the chairman for the Auditing Committee and Compensation Committee) to provide fair and objective perspectives.
Furthermore, other then the above, the outside directors may appropriately cooperate and supervise, as necessary, by receiving reports related to compliance and risk management from the departments in charge.
