Notice regarding Filing of Shelf
Registration Statement for Future Equity Issuances
TOKYO,
April 9, 2009 --- Sumitomo Mitsui Financial Group, Inc. (SMFG, President:
Teisuke Kitayama) hereby announces that its board of directors has resolved to file
a Shelf Registration Statement (hakkotorokusho)
in relation to the issuance of new shares as set forth below.
Background of the Shelf Registration Statement
Filing:
The
business and financial environment is expected to remain in a state of
heightened uncertainty as the currently challenging global economic situation
continues. Meanwhile, various initiatives and efforts to structure a new
regulatory framework are being implemented globally to stabilize the financial
system. Amid such circumstances, SMFG considers it necessary to enhance its
capital base both in terms of quantity and quality in order to maintain its
competitiveness notwithstanding any future changes that might occur in the
global financial sector and to realize sustainable growth. SMFG, therefore, has
filed a shelf registration statement for common stock which will permit SMFG to
flexibly issue new shares. SMFG believes that issuing new shares will enable
SMFG to more quickly achieve one of the goals of its medium-term management
plan of "realizing a solid financial base as a global player"; secure
a more solid capital base to better withstand further financial and economic
stresses; more sufficiently supply funds to clients, which is one of SMFG’s
core missions as a financial institution; and capture various business
opportunities.
